Terms and Conditions BraxX
 

 

Applicability

1.1 These general terms and conditions apply to all agreements, offers and deliveries of BraxX, a sole proprietorship established in Uden, the Netherlands. These terms and conditions also apply to all legal relationships between BraxX and its customers, unless otherwise agreed in writing.
1.2 By using the services of products from BraxX, the customer agrees with these general terms and conditions.

Offers and Agreements

2.1 All offers and quotations from BraxX are unlimited and valid for a period of 30 days, unless stated otherwise.
2.2 An agreement is concluded the moment the customer places an order with BraxX and BraxX has confirmed this in writing or electronically.
2.3 any additions, changes or agreements are only valid if signed in writing.

Prices and Payment

3.1 All prices of BraxX are exclusive of VAT, unless stated otherwise.
3.2 Payment must be made within a period of 14 days after the invoice date, unless agreed otherwise in writing.
3.3 In the event of late payment, the customer will be in default by operation of law and BraxX participants will be charged statutory interest and extrajudicial collection costs.
3.4 BraxX reserves the right to adjust prices. Adjustments will be communicated to the customer ten at least 30 days after the change.

Delivery

4.1 The delivery period is determined in consultation with the customer and is indicative, unless otherwise agreed in writing.
4.2 BraxX is not liable for any damage as a result of exceeding the delivery term, unless there is intent or gross negligence.
4.3 The risk of loss or damage to products passes to the customer at the time of delivery.

Intellectual Property

5.1 All intellectual property rights with regard to the services, products, documents and materials of BraxX remain the property of BraxX, unless agreed otherwise.
5.2 The customer is not permitted to use, copy, distribute or make available to third parties the intellectual property rights of BraxX without written permission from BraxX.

Liability

6.1 BraxX is not liable for any direct or indirect damage, including but not limited to consequential damage, lost profit.
